Welcome to NIDHI SWARUP ("Platform", "we", "our", "us"). By accessing or using our website, services, and multi-vendor marketplace, you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions, you must not access or use our platform.

1. Platform Role and Limitation of Liability

1.1 Intermediary Status: NIDHI SWARUP operates strictly as an intermediary digital marketplace connecting independent boutiques, designers, and vendors ("Sellers") with customers ("Buyers"). We provide the technological infrastructure for Sellers to showcase luxury designer wear for rent and purchase.

1.2 No Endorsement or Guarantee: We do not manufacture, store, inspect, or own the items listed on the Platform. We make no representations or warranties regarding the quality, safety, morality, or legality of any products listed. NIDHI SWARUP is not a party to the transaction between the Buyer and the Seller.

1.3 Off-Platform Communications: NIDHI SWARUP provides features that allow Buyers to contact Sellers directly via third-party messaging applications, including WhatsApp. You acknowledge that NIDHI SWARUP does not monitor, control, or secure communications occurring off our Platform. Any agreements, payments, or disputes arising from WhatsApp communications are strictly between you and the other party. NIDHI SWARUP explicitly disclaims all liability for scams, undelivered goods, or misrepresentation resulting from off-platform interactions.

1.4 Limitation of Liability: To the fullest extent permitted by applicable law, NIDHI SWARUP, its owners, affiliates, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of your use of the Platform or interactions with third-party vendors.

2. Vendor Responsibilities & Account Security

2.1 Accurate Listings: Sellers are solely responsible for ensuring that all product details, images, pricing (including rental deposits), and availability are accurate, up-to-date, and not misleading.

2.2 Legal Responsibility for Content: Sellers take full legal responsibility for any product image, description, and content they upload to the Platform. Sellers must own or have the explicit legal right to use all images, text, and media uploaded. You agree that all content provided is entirely legal and does not infringe on the rights of any third party. By uploading content, Sellers grant NIDHI SWARUP a non-exclusive, worldwide, royalty-free license to use, display, and promote that content. NIDHI SWARUP claims no responsibility for copyright infringement or illegal content uploaded by Sellers, but reserves the right to remove infringing content and terminate accounts upon receipt of a valid legal notice.

3. Prohibited Content and Conduct

To ensure a safe and premium environment, the following items, language, and behaviors are strictly prohibited on NIDHI SWARUP. Violation of these rules will result in immediate account termination without refund of any subscription fees.

3.1 Prohibited Items

Sellers may not list or promote the following items:

  • Counterfeit or Replica Goods: Unauthorized copies of branded designer wear, fake labels, or items infringing on trademark rights.
  • Stolen Property: Any goods that are not legally owned by the Seller.
  • Adult Content: Sexually explicit materials, imagery, or inappropriate clothing presentations.
  • Illegal Goods: Any items prohibited by local, state, or federal laws in the operating jurisdiction.
  • Offensive Material: Items that promote hatred, violence, discrimination, or intolerance based on race, religion, gender, or sexual orientation.

3.2 Prohibited Language and Behavior

When creating store profiles, product descriptions, or communicating with users, the following are banned:

  • Profanity and Hate Speech: Use of derogatory, offensive, or vulgar language.
  • Spam: Keyword stuffing, irrelevant external links, or promotional material unrelated to the listed product.
  • Fraudulent Claims: False advertising regarding the condition, brand authenticity, or origin of an item.
  • Circumvention: Encouraging users to bypass Velnora's systems in a way that violates our operational policies.

4. Payments, Subscriptions, and Refunds

4.1 Vendor Subscriptions: Sellers may be required to subscribe to a paid tier (e.g., Gold, Diamond) to access certain Platform features. Subscription fees are non-refundable unless otherwise required by law. NIDHI SWARUP reserves the right to change subscription pricing with prior notice.

4.2 Buyer Payments: If a transaction occurs directly between a Buyer and Seller off-platform (e.g., via bank transfer discussed on WhatsApp), NIDHI SWARUP cannot issue refunds, facilitate returns, or mediate payment disputes.

5. Termination

We reserve the right, at our sole discretion, to suspend or terminate your account, remove your listings, and restrict your access to the Platform at any time, without notice, for any violation of these Terms of Service or for behavior that harms the NIDHI SWARUP community or our brand reputation.

6. Governing Law

These Terms shall be governed and construed in accordance with the laws of our operating jurisdiction, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved exclusively in the competent courts of our jurisdiction.

7. Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will provide notice of significant changes by updating the date at the top of this page. Your continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms.
